Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CharmDeal (the “Service”), operated by FRAI DEVS LLC, a New York limited liability company (“CharmDeal,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use CharmDeal. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian. By using the Service, you represent that you meet these requirements and have authority to enter into these Terms.

2. The Service Is Informational, Not Advice

CharmDeal provides AI-assisted analysis of vehicle listings, VIN history, dealer reputation, scam indicators, contracts, and negotiation guidance. CharmDeal is an informational tool only. It is not a substitute for a professional vehicle appraisal, mechanic inspection, legal advice, financial advice, or insurance underwriting. You are solely responsible for decisions you make and contracts you enter into. Always verify critical information independently and consult qualified professionals before purchasing a vehicle, signing a contract, or relying on a price estimate.

3. Accuracy of AI-Generated Output

Market pricing, VIN history, dealer information, scam-detection signals, and contract analysis are produced by AI models drawing on third-party data, web search results, and publicly available sources. The output is a best-effort estimate and may be incomplete, out of date, or incorrect. CharmDeal does not guarantee the accuracy of any analysis and is not responsible for losses arising from reliance on the output.

4. Accounts

To use the Service you must create an account through our authentication provider (Clerk). You agree to provide accurate, current information; to keep your credentials confidential; and to be responsible for activity that occurs under your account. Notify us at [email protected] if you believe your account has been compromised.

5. Credits and Billing

CharmDeal uses a pay-per-check credit system. Credits are sold in bundles for a one-time fee and do not expire. Credits are not money, are non-transferable, and have no cash value. Each deal check, scan, or analysis consumes a defined number of credits as disclosed at the point of use. Charges are processed by our payment partners — Stripe (web), Apple App Store and RevenueCat (iOS), and Google Play Billing (Android) — and may be subject to those partners’ own terms.

New accounts may receive a limited free allotment of credits as a one-time promotion; this allotment may be modified or discontinued at any time.

6. Auto-Renewal Disclosure (if applicable)

The CharmDeal credit bundles described above are one-time purchases and do not auto-renew. If we offer auto-renewing subscriptions in the future, the following will apply and will be displayed clearly at the point of purchase:

  • The subscription will automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date.
  • The renewal will be charged to the payment method last used for that subscription.
  • You may cancel at any time through the platform you used to subscribe, with cancellation effective at the end of the current billing period.
  • For web subscriptions of more than one (1) year, we will provide written notice of the upcoming renewal at least fifteen (15) days in advance, consistent with New York General Obligations Law § 5-903.

7. Refunds

Purchases made through the App Store or Google Play are governed by those platforms’ refund policies; we cannot directly issue refunds for those transactions. For purchases made on the web, all sales are final unless otherwise required by law. We will consider refund requests on a case-by-case basis, including for unintended duplicate purchases or where the Service did not function as represented. 8. Acceptable Use

You agree not to:

  • Use CharmDeal in violation of any law or regulation, or to infringe the rights of others.
  • Submit content you do not have the right to submit, or that contains personal information of others without their consent.
  • Scrape, mirror, or systematically extract data from the Service; conduct automated bulk queries; or circumvent rate limits or other access controls.
  • Reverse-engineer, decompile, or attempt to derive the source code or model weights of any component of the Service, except where expressly permitted by law.
  • Resell, sublicense, or otherwise commercialize CharmDeal output without our written permission.
  • Use CharmDeal output to train or fine-tune any AI model.

9. Intellectual Property

The Service, including its software, design, branding, prompts, model configurations, and content created by CharmDeal, is owned by FRAI DEVS LLC and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own personal, non-commercial use, subject to these Terms.

You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content as needed to operate, improve, and provide the Service to you.

10. Third-Party Services

CharmDeal relies on third-party providers across categories including authentication, payments, AI inference, hosting, search, analytics, and notifications. Our use of AI inference providers is described in our Privacy Policy (Section 2); a current sub-processor list for all categories is available on request from [email protected]. Your use of those providers may also be subject to their terms. CharmDeal is not responsible for the availability or content of third-party services, including dealer websites, listing platforms, and any sites linked from analyses.

11. Termination

You may stop using the Service at any time and request account deletion via [email protected]. We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates legal, security, or reputational risk. Provisions that by their nature should survive termination — including ownership, disclaimers, indemnity, limitations on liability, and dispute resolution — will survive.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRAI DEVS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FRAI DEVS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY DECISION YOU MAKE BASED ON SERVICE OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR CHARMDEAL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms is intended to limit liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law (including, where applicable, claims under New York General Business Law §§ 349 and 350).

14. Indemnification

You agree to defend, indemnify, and hold harmless FRAI DEVS LLC and its officers, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising from or relating to these Terms or the Service is the state and federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts. This section does not deprive consumers of any rights granted by mandatory consumer-protection laws of their place of residence.

Before filing a claim, you agree to first contact us at [email protected] with a description of the dispute and the relief sought, and to attempt in good faith to resolve the matter informally for at least thirty (30) days.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you in-app or by email. Your continued use of the Service after the update constitutes acceptance of the revised Terms.
